General Terms and Conditions (GTC) – BNL

(The following GTC also contain legal information on your rights in electronic business transactions as well as mandatory information for consumers)

§ 1 Definitions

(1) If special rights and obligations are agreed in these GTC only for consumers in accordance with § 13 BGB or only for entrepreneurs in accordance with § 14 BGB, the following definitions apply:

(2) A consumer is any natural person who concludes a legal transaction for purposes that are predominantly neither commercial nor self-employed.

(3) An entrepreneur within the meaning of § 14 BGB is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.


§ 2 Scope of the GTC for entrepreneurs

(1) If the buyer is an entrepreneur within the meaning of § 14 BGB, these GTC of BNL shall apply exclusively. Deviating GTC of the buyer shall only become effective if BNL expressly agrees to them in writing.

(2) These GTC also apply to future transactions between BNL and the buyer.


§ 3 Retention of title

The goods remain the property of BNL until full payment. Prior to the transfer of ownership, pledging, collateral assignment, processing or modification is not permitted without the consent of BNL.


§ 4 Warranty

(1) Consumers have the statutory warranty rights. The period is 24 months from delivery of the goods.

(2) Entrepreneurs: Warranty period for new goods 1 year. For used goods, the warranty is excluded to the extent permitted by law. Claims for damages remain unaffected.

(3) Entrepreneurs must inspect and report transport damage immediately in accordance with § 5.


§ 5 Transport damage

(1) Consumers should immediately report obvious damage to the delivery person and inform BNL.

(2) Hidden defects must be reported immediately after discovery.

(3) The consumer's rights are not restricted thereby.

(4) Entrepreneurs must inspect the goods immediately and report any damage in writing.


§ 6 Applicable Law

The law of the Federal Republic of Germany shall apply, to the exclusion of the UN Convention on Contracts for the International Sale of Goods. For consumers, mandatory provisions of their country of residence shall continue to apply.


§ 7 Place of Jurisdiction

The place of jurisdiction is the registered office of BNL, provided that the buyer is a merchant or a legal person under public law or has no place of residence in Germany.


§ 8 Consumer information and information in electronic business transactions – BNL

1. Contract language

The contract language is German. These General Terms and Conditions are offered exclusively in German.


2. Conclusion of contract and technical steps leading to the conclusion of the contract

a) The product presentations in the BNL online shop do not constitute a binding offer, but an non-binding invitation for the customer to submit a purchase offer.

b) The customer places products in the shopping cart and then goes through the ordering process. In doing so, they provide their billing and delivery address, the desired payment method and the shipping method. Only by clicking the "Order with obligation to pay" button does the customer submit a binding offer to purchase the goods in the shopping cart.

c) If the payment method "Invoice purchase" or "Cash on delivery" is selected, BNL accepts the offer by means of an order confirmation by e-mail within 3 working days. If no acceptance is made within this period, the offer is deemed to have been rejected.

d) If the payment method "Advance payment/bank transfer" is selected, the contract with BNL is concluded upon confirmation of the payment instruction.

e) When paying via PayPal, the contract is concluded upon confirmation of the payment instruction to PayPal.

f) When paying by credit card, the contract is concluded when the credit card is charged.

g) For direct debit, the contract is concluded when the account is debited.

h) For "Sofortüberweisung" (instant bank transfer), the contract is concluded upon confirmation of the payment instruction to SOFORT GmbH.

i) The customer can also request an offer from BNL by telephone, fax or e-mail. BNL will then send a binding offer within 7 working days. The customer can accept this within 7 working days by telephone, fax, e-mail or letter. If no timely acceptance is made, the offer is deemed to have been rejected and BNL is no longer bound by it.


3. Correction of input errors before sending the order

The customer can check their order at any time before submitting the binding order and correct input errors using the provided correction functions or the "Back" button of their browser.


4. Storage of the contract text

The order data, the GTC and the cancellation policy will be sent to the customer by BNL in text form by e-mail with the order confirmation. In addition, BNL stores the contract text internally and makes it available to the customer again by e-mail upon request.


5. Details regarding payment

a) Payment is made using the payment methods offered in the order process.

b) Installment payments require prior agreement with BNL.

c) In the event of default in payment, BNL is entitled to withdraw from the contract after a reasonable period.


6. Details regarding delivery

a) Unless otherwise agreed, delivery will be made to the address provided by the customer within Germany or to the countries selectable in the ordering process. Deliveries to countries not offered are excluded.

b) Delivery times and possible restrictions are indicated in the BNL online shop.

c) In case of force majeure or unforeseeable circumstances (e.g. operational disruptions), delivery delays may occur. BNL will inform the customer immediately. Statutory claims of the customer remain unaffected.

d) If delivery is impossible, the customer will be informed and any payments already made will be refunded immediately.

e) Towards consumers, BNL bears the risk of accidental loss or damage to the goods during transport.

f) The choice of shipping service provider is made by BNL.


7. Prices and shipping costs

a) All prices include the statutory value-added tax and other price components and are plus shipping costs. For deliveries to third countries, additional customs duties or taxes may apply.

b) For goods subject to differential taxation (e.g. used items), the sales tax cannot be shown separately (§ 25a UStG).


8. Customs duties and import fees for deliveries outside the EU

For deliveries to countries outside the European Union, additional customs duties and import fees may arise once the goods arrive in the destination country. These costs are borne by the customer. BNL has no influence on the amount of these fees and cannot predict them.


9. Information on warranty conditions and guarantees

a) Information on the warranty can be found in § 4 of these GTC.

b) If BNL grants an additional voluntary guarantee, the customer's statutory warranty rights remain unaffected. The guarantee is supplementary and arises from the respective guarantee declaration.


10. Right of withdrawal for consumers

Consumers generally have a statutory right of withdrawal. The details can be found in BNL's separate cancellation policy.


11. Essential characteristics of the goods or services

The essential characteristics of the goods or services result from the respective product descriptions in BNL's online shop.
